Shareholder Agreement

I. Voting
All decisions within the ordinary course of business shall be made by the CEO.  In addition, for the purposes of selling, terminating, liquidating, entering loans or changing the basic purposes of the Corporation, a majority of all shareholders must support the decision.
II.      Checks
All cash, checks, or other instruments of payment are to be deposited directly into the corporation’s bank account.  Any checks withdrawing money from this account must be approved by the CEO and at least one shareholder-elected appointee.
III. Selling of Shares
Should a shareholder wish to dispose of his stock in the corporation, he may sell his shares back to the corporation for a price mutually agreed upon by both parties, terminating all of his voting rights.  The corporation may then resell the share, along with all voting rights, to another person.
IV. Appointed Executives
Chief Executive Officer:  Authorized to handle most day to day decisions; duties include selecting a bank manager, and helping to choose department heads. Member of the Board.

Appointeees Addendum
Vice President: Communicates with shareholders, verifies published reports. Helps to choose department heads; member of the Board. Communicates with shareholders.

Secretary: Records important discussions and decisions, publishes important bank information. Member of the board.

Chief Financial Officer: Provides financial data to other members of the board.
Selects Central Accounting; member of the board.



QUOTE

- The C.E.O. and Vice President shall be administrators for the FBCC forum and may choose to appoint others

Our stock amounts triple. and the value is divided by 3. Which means once the FBCC grows more we can make more money per share when we want to sell.

Yup, what happens is the total number of stocks each person has will triple, but the value will be cut in 1/3. So if you have 10 stocks now worth $3000 each, afterwards you will have 30 stocks worth $1000 each. The total value does not change, and each individual's holdings do not change. So what's the point you may ask? The idea is that for example, if each stock costs $3000, then it can be difficult to sell even a single share, however if each stock costs $1000, then you can sell 1 share to 3 different people.

Lol in fact as an owner of a controlling portion (>50%) I can pass the motion with my votes alone, however I still wanted to give everyone a chance to comment, and I prefer when the motions I pass get voted for, and I do take it into consideration when voting my shares.

Plus it's not sad! There are only a dozen shareholders, and several people own large portions, so it's not surprising to see one or two voter sway the results.

The FBCC may appoint a CEO by majority vote of the shareholders. Nominations can be made by any shareholders.

I nominate Mr.Hunt for the position of CEO.

I wasn't proposing anything aside from hiring people for VP positions...such as the finance one.
